Wireless Edge Networks and TelSouth Wireless Announce Merger Agreement
BEAUFORT, SC -- 08/21/2003 -- Wireless Edge Networks, Inc. (“Wireless Edge”) and TelSouth Wireless, LLC, (TelSouth) announced today the execution of an agreement that will merge the two companies and create a comprehensive enterprise to continue the mission of developing and deploying value-added wireless applications and Wi-Fi 802.11 high-speed Internet access services.
Robert McGuire, Chief Executive Officer of Wireless Edge, said, “We are extremely pleased with the unlimited potential that is created with this merger. TelSouth is in the business of engineering, installing and managing Wi-Fi 802.11 high-speed Internet networks. They have developed outstanding processes in regard to delivering real-world high-quality wireless Internet access services. Wireless Edge, on the other hand, is a technology-based platform and solutions company that is in the business of commercially exploiting the wireless spectrum by deploying, designing and developing wireless applications that create new revenue producing opportunities for mobile carriers, Internet providers, entertainment companies and various corporate enterprises that want to leverage the power of the wireless marketplace.

The new Company will be called Wireless Edge Networks, Inc. and will continue its strategic focus on providing high-quality Internet-related applications and services to the markets of resorts, timeshares, hotels, yacht clubs, marinas, restaurants and related hospitality centers, RV parks, golf clubs and other public venues. Wireless Edge will continue to provide high-speed mobile Internet access services on Hilton Head Island, South Carolina and accelerate its expansion in neighboring markets such as Bluffton, South Carolina, one of the fastest growing communities in the country. Wireless Edge’s flagship product will be the Wireless Internet Zone (WIZ), which has been deployed by TelSouth and is offered at many Hilton Head Island restaurants, marinas and timeshares.

The Company’s authentication and billing and collection interface offers a Web front-end that is presented to a user. The user can enjoy the WIZ benefits after obtaining a valid user name and password by providing appropriate credit card billing information on the secure Web sign-up page, where the user pays for a 'lease' or 'usage' of high-speed Internet access by the hour, day, week or month.”
In addition to the existing menu of Wireless Edge applications and Wi-Fi connectivity offerings, the company looks forward to introducing new and exciting services that will generate value-added revenues such as telephony voice over IP, video streaming and other entertainment capabilities, plus roaming to and from 3G operators, expanded data transmission speeds and personally tailored service solutions.
