SmartServ Signs Letter of Intent to Acquire Mobile Airwaves
PLYMOUTH MEETING, Pa.--Dec. 12, 2003--SmartServ Online, Inc. (OTC: SSRV) has signed a Letter of Intent and is negotiating definitive agreements to acquire San Francisco-based Mobile Airwaves, Inc., developers of the Aqivo Wireless Software Solutions.
Mobile Airwaves is a leader in the growing mobile data access market. Known for its performance and reliability in the wireless enterprise industry, Aqivo(R) enables the delivery of e-mail and data applications over wireless networks to practically any data-enabled device.
"The acquisition of Mobile Airwaves and its Aqivo e-mail enabling software technology will be a critical building block in SmartServ's emerging product strategy," said Robert Pons, interim Chief Executive Officer and a SmartServ Director. "The addition of Aqivo to our own content assets will allow us to address the rapidly expanding market of individual cell phone users who want to access their existing e-mail accounts from their wireless devices."
Mr. Pons continued, "SmartServ continues to deliver data and branded content that can increase wireless data revenue and customer retention." He pointed out the Company is marketing a substantial portfolio of dynamic mobile applications and will soon begin deploying bundled products to the market.
The Aqivo server is a cost-effective solution adaptable to most wireless devices including Palm PDAs, Pocket PC handhelds, RIM/Blackberry Pagers, as well as cellphones and PDA Smartphones. The Company has existing relationships with a number of industry leaders including BEA, Certicom and AT&T Wireless.
"There currently is an evolution of the cellular industry and competition is moving from differentiation based on network coverage and per minute rates to one based on enhanced features and services. This potential acquisition will enhance our ability to address that market with a proven leader in the wireless e-mail market," said Mr. Pons

There can be no assurance, however, that SmartServ will be able to complete definitive agreements and close the contemplated acquisition.
