CTDI Acquires GoDigital Networks

WEST CHESTER, Pa. & FREMONT, Calif., - Communications Test Design, Inc. (CTDI), the world's largest independent global telecommunications repair and logistics provider, announced today that it has acquired all assets of GoDigital Networks (www.godigital.com), the leading supplier of line-powered broadband network access products in North America. The announcement was made by CTDI chairman & CEO Jerry Parsons and became effective June 30, 2006.

Under the terms of the agreement, CTDI will continue to design, manufacture, sell and support GoDigital-branded products, primarily the XCel product family, and will assume ongoing product life-cycle management responsibilities. The GoDigital facility in Fremont, CA will become the newest of CTDI's 37 locations that comprise their global network. Frank Akers, president & CEO of GoDigital, will lead the Fremont branch and its staff, which will focus on R&D, sales and marketing of the GoDigital products.

"The acquisition of GoDigital Networks strengthens CTDI's product, repair and service portfolios," said Parsons. "CTDI's increased capacity in the high-growth access and transport markets will benefit both our OEM and carrier customers."

"GoDigital couldn't be happier to have merged with CTDI, which is recognized as the leader in the telecom service industry," stated Akers. "This acquisition can only strengthen our current DSL product solutions and solidify our long-term vision for GoDigital products." GoDigital Networks designs and markets telecommunications equipment that facilitates universal broadband coverage and increases copper access line performance. Products include the XCel-4a ADSL extension system, which extends the range of existing DSLAMs and Next Generation Digital Loop Carriers (NGDLCs). GoDigital's long-range DSL and multiple voice transmission systems help ILEC's more fully utilize their existing copper infrastructure to deliver cost-effective voice services and V.90 Internet access to business and residential subscribers, regardless of their distance from the central office. GoDigital also provides mechanized loop testing technology, which enables remote diagnosis of copper line issues. More than 300 local exchange carriers use GoDigital products, including Qwest, Verizon, ALLTEL, CenturyTel, TELUS and Iowa Telecom.

CTDI provides maintenance service solutions to the telecommunications industry, including wireline repair & logistics, wireless repair & logistics, engineering and installation services, global supply chain solutions, and product engineering & manufacturing. CTDI has also acquired the eLuminant product line from Zhone Technologies, IAD and DSLAM products from Nortel as well as the Nortel Async product portfolio. For more information, visit www.ctdi.com.
